These Terms & Conditions ("Terms") govern your access to and use of the website, services, and paid media and digital advertising services provided by Fer Social Media, LLC ("Fer Social Media," "we," "us," or "our").
By accessing our website, engaging our services, submitting a project request, or otherwise working with us, you agree to these Terms. If you do not agree with these Terms, please do not use our website or services.
1. About Our Services
Fer Social Media provides paid media and digital advertising services designed to help businesses plan, create, launch, manage, and optimize advertising campaigns.
Depending on the scope of an engagement, our services may include:
- Paid media strategy and planning
- Campaign setup and management
- Audience and targeting strategy
- Advertising creative and copy
- Campaign testing and optimization
- Retargeting
- Landing-page recommendations or development
- Local advertising
- Performance monitoring and reporting
- Advertising strategy across third-party platforms
Our services may include advertising on platforms such as Meta, Google, Quora, Reddit, Snapchat, and Google's local advertising ecosystem.
The specific services provided to a client will depend on the applicable proposal, statement of work, service agreement, order form, or other written agreement between the parties.
2. Engagement and Scope of Work
Before beginning a project, we may provide a proposal, scope of work, service description, or other written agreement describing the services, deliverables, fees, responsibilities, and expected timeline.
The agreed scope determines what is included in our engagement.
Requests outside the agreed scope may require additional fees, revised timelines, or a separate agreement.
We may decline work that falls outside our capabilities, creates unreasonable legal or compliance concerns, conflicts with a platform's advertising policies, or otherwise presents a material risk to the client or our business.
3. Advertising Spend Is Separate
Unless expressly stated otherwise in writing, advertising media spend is separate from our service fees.
Media spend refers to amounts paid to advertising platforms for the placement or delivery of advertisements. This may include amounts charged by Meta, Google, Quora, Reddit, Snapchat, or other advertising providers.
The client is responsible for advertising spend associated with its campaigns.
We do not control:
- Platform pricing
- Auction competition
- Cost per click
- Cost per impression
- Available inventory
- Audience availability
- Platform algorithms
- Delivery volume
- Platform billing decisions
Advertising budgets may therefore be spent differently from initial estimates depending on platform conditions and campaign activity.
4. No Guarantee of Results
Digital advertising involves variables outside our control. Fer Social Media does not guarantee a specific number of leads, sales, bookings, impressions, clicks, conversions, revenue, return on advertising spend, or other business results.
Any examples, projections, estimates, forecasts, benchmarks, or discussions about potential performance are provided for planning purposes only and are not guarantees of future results.
Campaign performance can be affected by factors including:
- Market conditions
- Competition
- Advertising platform changes
- Budget
- Audience size
- Offer quality
- Pricing
- Website performance
- Landing-page experience
- Sales processes
- Customer demand
- Seasonality
- Tracking limitations
- Client response times
- Platform policies and account restrictions
Our role is to apply reasonable professional strategy, testing, monitoring, and optimization within the agreed scope. We cannot guarantee the commercial outcome of any campaign.
5. Third-Party Advertising Platforms
Our services may depend on third-party platforms, including Meta, Google, Quora, Reddit, Snapchat, and other advertising or technology providers.
These platforms operate independently from Fer Social Media and may change their:
- Advertising policies
- Algorithms
- Interfaces
- Targeting options
- Reporting systems
- Pricing
- Review processes
- Eligibility requirements
- Account restrictions
- Technical functionality
We are not responsible for changes, interruptions, suspensions, disapprovals, outages, errors, or other actions taken by third-party platforms.
Where reasonably possible and within the scope of our engagement, we may help diagnose platform-related issues or recommend corrective action.
6. Ad Approvals and Platform Review
Advertising platforms may review advertisements before or after they are published.
An advertisement may be rejected, limited, delayed, removed, or otherwise restricted even when it has previously been approved.
Fer Social Media does not control platform review decisions.
The client understands that platform approval does not constitute a guarantee that an advertisement complies with every applicable law, regulation, industry rule, or other requirement.
Where the client operates in a regulated industry, the client remains responsible for providing accurate information and identifying any legal, regulatory, professional, or industry requirements applicable to its advertising.
7. Client Responsibilities
Successful advertising requires timely cooperation from the client.
The client is responsible for providing accurate and complete information, including where applicable:
- Business information
- Product or service details
- Pricing
- Offers and promotions
- Brand guidelines
- Images, videos, and other assets
- Product claims
- Service claims
- Customer or audience information
- Required approvals
- Website and landing-page information
- Access to relevant advertising accounts
- Tracking and analytics access
The client is responsible for reviewing materials submitted for approval and notifying us of inaccuracies, omissions, or compliance concerns before publication.
The client is also responsible for ensuring that information supplied to Fer Social Media is lawful and does not infringe the rights of others.
8. Client Approvals
Where client approval is required, the client is responsible for reviewing campaign materials within a reasonable timeframe.
Once materials have been approved, Fer Social Media may proceed with publication or implementation in accordance with the agreed scope.
Delays in providing information, access, feedback, or approvals may affect campaign launch dates and other project timelines.
We are not responsible for delays caused by the client's failure to provide required materials, approvals, information, or access.
9. Advertising Claims
The client is responsible for ensuring that claims relating to its products, services, pricing, offers, certifications, results, testimonials, guarantees, or other representations are accurate and appropriately substantiated.
Fer Social Media may identify obvious concerns with advertising claims or recommend changes, but our review does not constitute legal advice or a legal compliance certification.
Clients operating in regulated or sensitive industries may need independent legal or regulatory review before advertisements are published.
10. Creative and Content
Where creative services are included, we may develop advertising copy, concepts, graphics, videos, campaign assets, or other marketing materials.
The scope, number, format, and revision process for creative deliverables will depend on the applicable agreement.
Unless otherwise agreed, additional creative requests or revisions outside the approved scope may be treated as additional services.
The client is responsible for reviewing final creative and confirming that business information, product details, pricing, offers, and claims are accurate before publication.
11. Intellectual Property
Each party retains ownership of intellectual property it owned before the engagement.
Unless otherwise stated in a written agreement:
- Client materials: The client retains ownership of materials, trademarks, logos, photographs, videos, data, and other content supplied to Fer Social Media.
- Our materials: Fer Social Media retains ownership of its pre-existing processes, templates, systems, methodologies, tools, know-how, frameworks, and other proprietary materials.
Rights to final, client-specific deliverables will be governed by the applicable agreement and may depend on payment in full.
The client represents that it has the necessary rights and permissions to provide materials to Fer Social Media for use in the engagement.
12. Advertising Accounts and Access
Advertising accounts may be owned and controlled by the client or may be created or managed as part of the engagement.
Where possible, clients are encouraged to maintain ownership of their primary advertising, analytics, website, and business accounts.
The client is responsible for maintaining appropriate account access and security.
Fer Social Media is not responsible for unauthorized access resulting from credentials, permissions, devices, or security practices controlled by the client or another third party.
13. Tracking and Reporting
Where included in the engagement, we may configure or use analytics, conversion tracking, pixels, tags, CRM integrations, platform reporting, or other measurement systems.
Tracking may be affected by:
- Browser restrictions
- Privacy settings
- Consent requirements
- Platform changes
- Technical errors
- Website changes
- Ad blockers
- Incomplete implementation
- Third-party systems
Reported advertising data should therefore be understood as measurement information rather than a guarantee that every conversion or customer action has been captured.
14. Privacy and Customer Data
Clients must not provide Fer Social Media with personal information unless the client has a lawful basis and the necessary rights and permissions to do so.
Where campaigns involve customer data, the client is responsible for ensuring that the collection, use, disclosure, transfer, and advertising use of that information comply with applicable privacy and data-protection laws.
Depending on the services provided, additional data-processing terms may be required.
For information about how Fer Social Media handles information collected through its website, please review our Privacy Policy.
15. Fees and Payment
The client agrees to pay the fees described in the applicable proposal, service agreement, statement of work, invoice, or order form.
Unless otherwise stated in writing:
- Service fees are separate from advertising spend.
- Payment terms are those stated in the applicable agreement or invoice.
- The client is responsible for applicable taxes and third-party charges.
- Late payments may affect the continuation of services or campaign activity.
Fer Social Media may pause work or campaign management where undisputed amounts remain unpaid.
Any payment or cancellation terms specific to a client's engagement will be governed by the applicable written agreement.
16. Campaign Pauses and Changes
Clients may request changes to campaigns, budgets, targeting, creative, offers, or other campaign elements.
Changes may affect campaign learning, delivery, timing, performance, or advertising spend.
Fer Social Media will make reasonable efforts to implement approved changes within the scope of the engagement, subject to third-party platform functionality and applicable timelines.
17. Cancellation and Termination
Either party may terminate an engagement according to the cancellation or termination terms stated in the applicable agreement.
If no separate termination terms apply, either party may provide written notice of termination.
Upon termination:
- Services may cease after the applicable notice period.
- Outstanding fees remain payable.
- Advertising spend already incurred remains the client's responsibility.
- Third-party commitments may remain payable where applicable.
- Access and account arrangements may be transitioned as reasonably appropriate.
Termination does not eliminate obligations that arose before the termination date.
18. Suspension of Services
We may suspend or restrict services where reasonably necessary, including where:
- Fees remain unpaid.
- Required client information or access is unavailable.
- Campaign activity may violate applicable law or platform policies.
- The client requests activity that creates material legal or compliance concerns.
- A third-party advertising account has been restricted or suspended.
- Continuing the engagement would create a material security or operational risk.
Where reasonably possible, we will notify the client before suspending services.
19. Third-Party Services
Our work may rely on third-party tools, software, analytics systems, advertising platforms, hosting providers, payment processors, CRM systems, or other services.
We do not control these third parties and are not responsible for their availability, security, pricing, policies, performance, or changes.
Third-party services may have their own terms and privacy policies, which may apply to the client's use of those services.
20. Confidentiality
Each party may receive confidential or commercially sensitive information from the other during an engagement.
Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the business relationship.
Confidential information does not include information that:
- Is publicly available through no breach of these Terms;
- Was already lawfully known by the receiving party;
- Is independently developed without using confidential information; or
- Must be disclosed by law or valid legal process.
Where a separate confidentiality agreement exists, that agreement will govern to the extent of any conflict.
21. Website Use
You may use our website only for lawful purposes.
You agree not to:
- Attempt to gain unauthorized access to our systems;
- Interfere with website functionality;
- Introduce malicious code;
- Scrape or reproduce website content in a manner that violates applicable rights;
- Use the website for fraudulent or unlawful activity; or
- Misrepresent your identity or relationship with Fer Social Media.
We may modify, suspend, or discontinue portions of our website at any time.
22. Disclaimer of Warranties
To the maximum extent permitted by applicable law, our services and website are provided on an "as is" and "as available" basis.
We do not warrant that:
- Campaigns will achieve a particular result;
- Advertising platforms will approve or continue delivering advertisements;
- Advertising accounts will remain unrestricted;
- The website or third-party platforms will always be available;
- All campaign data will be complete or error-free; or
- Advertising will generate a particular level of sales, leads, revenue, or return.
Nothing in these Terms excludes any warranty or consumer protection right that cannot lawfully be excluded.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Fer Social Media, LLC and its owners, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the services or these Terms.
This may include loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings.
To the maximum extent permitted by applicable law, our aggregate liability arising from an engagement will not exceed the fees actually paid by the client to Fer Social Media for the services giving rise to the claim during the twelve months preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.
24. Indemnification
To the extent permitted by applicable law, the client agrees to defend, indemnify, and hold harmless Fer Social Media, LLC and its owners, employees, contractors, and representatives from claims, damages, liabilities, losses, costs, and reasonable expenses arising from:
- Client-provided content or materials;
- Client products or services;
- Client claims or representations;
- The client's violation of applicable law or third-party rights;
- The client's misuse of advertising platforms; or
- The client's breach of these Terms or the applicable agreement.
This provision does not apply to the extent a claim results from Fer Social Media's own gross negligence, willful misconduct, or other conduct for which indemnification cannot legally be required.
25. No Legal or Financial Advice
Our services are marketing and advertising services.
Unless expressly agreed otherwise, nothing we provide constitutes legal, regulatory, tax, accounting, financial, medical, or other professional advice.
Clients should obtain advice from appropriately qualified professionals where such advice is required.
26. Changes to These Terms
We may update these Terms from time to time to reflect changes to our services, business practices, technology, or legal requirements.
When we make material changes, we may update the "Last Updated" date and provide additional notice where appropriate.
Your continued use of our website or services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
27. Governing Law
These Terms will be governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
Any dispute arising from these Terms or our services will be handled in the courts located in Miami-Dade County, Florida, unless the parties agree otherwise or applicable law requires a different forum.
28. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
29. No Waiver
A failure or delay by either party to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it later.
30. Entire Agreement
These Terms, together with any applicable proposal, statement of work, service agreement, order form, and other written agreements between the parties, constitute the agreement governing the applicable services.
If there is a conflict between these Terms and a signed service agreement, the signed service agreement will control to the extent of the conflict.
31. Assignment
The client may not assign or transfer its rights or obligations under these Terms without our prior written consent, except where permitted by applicable law.
Fer Social Media may assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of substantially all of its assets.
32. Electronic Communications
You agree that electronic communications, including email, electronic approvals, proposals, invoices, and digitally executed agreements, may satisfy applicable legal requirements for written communication or signatures to the extent permitted by law.
